in the last three years I created an e-health platform for a client who owns multiple orthopaedic practices. With the platform his employees can create training plans for their patients. I build the platform for beeing used by multiple independent organizations. The content (in the form of exercise-videos and -information) is provided by my client, who has recognised expertise in this field.

Currently I am refining the product by working close with his employees. At the same time he creates the content so we have enough exercises to choose from.

While we have some competitors like Caspar Health, which got funded 3M€, he is confident that we can build a company from that product. He and his team have teached many other (~2000) therapists and he has a really big network (spanning to the USA), so he knows he is not the only one with the need of such a platform.

The therapists, he and his team have teached, are also the first potential customers we want to sell the product to. He thinks he can "get ~50 of them to pay ~100€/month for the product in no time".

In the last meeting we had, I offered to work fulltime on the project and he seemed confident, that we can do that in a few months.

What would be a good contract for everybody, while keeping in mind, that * I will build the thing and I will be responsibly for its succes * he will provide the content * he has already started multiple companies (also another e-health one which is similar but not the same) * he won't have much time for the project. He will probably mostly delegate specific tasks to his other employees * he is the unfair marked advantage with all the !really good and unique! knowledge and experience he has

How much should I own of the company? I thought about 50% and he gets all the money back, he has paid to me until now (~11k€)

What do you think, should we do this? What can I expect? How should I/we approach this?
